• Mode Protocol: Rapid MVP design and development within 2-4 weeks
• Product Partner: End-to-end partnership for complex AI products
• Consulting: Product strategy, scoping, and technical advisory services

All services are subject to separate service agreements, which will include specific deliverables, timelines, and pricing. These Terms govern your use of our Site and general relationship with Mode Studio.

3. Use of the Site

3.1 Permitted Use

You may use our Site for lawful purposes only. You agree to use the Site in accordance with all applicable laws and regulations.

3.2 Prohibited Conduct

You agree NOT to:

4.3 Client Work Ownership

For custom development projects, upon full payment of all fees:

• You will own 100% of the code, designs, and deliverables created specifically for your project
• Mode Studio retains ownership of proprietary tools, frameworks, and reusable components
• Mode Studio reserves the right to showcase completed projects in our portfolio (with your permission)

5. User-Generated Content

When you submit information through our contact form or communicate with us through the Site, you grant Mode Studio a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content for the purpose of providing our services and communicating with you.

You represent and warrant that:

• You own or have the necessary rights to the content you submit
• The content does not violate any third-party rights
• The content does not contain any unlawful, harmful, or objectionable material

6. Service Agreements and Payments

6.1 Separate Agreements

Any engagement for development services will be governed by a separate service agreement that outlines:

• Scope of work and deliverables
• Timeline and milestones
• Payment terms and pricing
• Intellectual property ownership
• Confidentiality obligations

6.2 Pricing

All prices displayed on the Site are in Euros (EUR) and are subject to change. We will communicate any pricing changes before you commit to a service agreement.

6.3 Refunds

Refund policies are specific to each service agreement. Generally:

• Discovery and scoping fees are non-refundable once work has commenced
• Development fees may be partially refundable based on work completed
• Specific refund terms will be outlined in your service agreement

7. Third-Party Links and Services

Our Site may contain links to third-party websites or services (such as Cal.com for scheduling) that are not owned or controlled by Mode Studio. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Mode Studio shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites or services.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Basis

THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee

We do not warrant that:

• The Site will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Site will be accurate or reliable
• Any errors in the Site will be corrected

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MODE STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL MODE STUDIO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

9. Indemnification

You agree to defend, indemnify, and hold harmless Mode Studio, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

10. Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms.
